Abstract: The purpose of this research is to construct a mathematical model for predicting the adoption of E-learning in Higher Education Institutions. Unified Theory of Acceptance and Use of Technology (UTAUT) was adopted as a grounded theory. However, UTAUT emphasizes only the “technological motivation”, whereas E-learning has two aspects to its definition; ‘E’ (referred to technology) and ‘learning’ (referring to learning environment). This research will fill in the gap left by other researchers by adding “learning motivation” to the model. In order to find possible learning motivation factors, the ARCS model was adopted. Literature also confirmed that the main cause for difference in student’s learning motivation between each different country is national culture. Hence national culture was included as a factor for the students’ learning motivation in order to make the cross-national application of the model.
